4. Description of Our Services

4.1.

The Service is offered to enable you to open an Account and perform Transactions and send fund remittances anywhere applicable in the world. You should only use the Service to send funds to people and/or entities you have a close personal or business relationship with, or trust, and never strangers, as many frauds are perpetrated over the Internet or through social networking.

4.2.

The Service is designed to allow users to send and receive funds around the world where Clarity Global offers its Service, but may not be available in certain countries depending on local and/or other laws and regulations.

4.3.

If you submit a transaction via our Site, your request that we process your Transaction is an offer on your part, which we may accept or reject at our sole discretion. If accepted, we shall process the Transaction. Certain Transactions that exceed certain amounts, and/or transfers to certain destinations and/or of a certain nature, may take longer or be subject to additional restrictions. Clarity Global reserves the right to limit the amount of any Transaction or transfer, or to decline any transaction that may violate applicable law or Clarity Global policies. When required by applicable law, Transactions shall be reported to federal, provincial, local, and/or foreign authorities.

4.4.

All Transactions are subject to the Bank's approval prior to execution. No Transaction will be carried out without the Bank's consent, even if an order has been received. Any transaction not approved by the Bank will not be executed; remittance fees charged by Banks will not be refunded, and Clarity Global will bear no liability towards the Customer in such cases. The execution time of any transaction is subject to the Bank's cut-off times for processing.

4.5.

You acknowledge and agree that we reserve the right to change the banking partner associated with your account at our sole discretion and without prior notice, for reasons including continuity of service, regulatory compliance, or risk management. While we will take reasonable steps to inform you of such changes as soon as practicable, such notice may be provided after the change has taken effect. We shall not be liable for any delays, disruptions, or inconveniences arising from such changes.

5. Availability of the Services

5.1.

The Company does not guarantee that the Services will be available at all times. The Company reserves the right to delay, deny, or make unavailable any or all of the Services, any part of the Site, and/or the entire Site at any time and at its sole discretion. The Company shall not be responsible or liable for the unavailability of any Service and/or the Site, whether caused by the Company, a third party, or a force majeure event.

5.2.

You understand that such events may cause delays in the execution or processing of your orders and transactions, and you irrevocably release the Company from any liability in this regard. "Force majeure" refers to events beyond the Company's reasonable control, including acts of God, government actions, fire, flood, storm damage, earthquakes, labor disputes, war, and riots.

6. Registration and Account Opening Process

6.1.

To use the Services and open an Account, you must undergo our registration process, providing information for identity verification (including KYC) and detection of money laundering (AML), terrorist financing, fraud, or other financial crime. You permit us to keep a record of such information ("Registration Information").

6.2.

We may request personal information from you, including your name, address, telephone number, email address, date of birth, government identification, and bank account details. By providing this information, you confirm it is accurate and authentic.

6.3.

During verification, we may require documents such as proof of address and a government-issued identity document, each valid for at least the next six months. We may also verify your identity through video and/or audio calls. You are obliged to provide all necessary documentation and information as required from time to time.

6.4.

We may request additional KYC information and/or documentation at our sole discretion at any time, and you are obliged to fully cooperate. We may suspend or restrict your use of the Services until you provide the required information to our full satisfaction.

6.5.

You acknowledge that, to conduct verification and background checks under our KYC/AML procedures, we may perform inquiries directly or through third-party service providers to prevent fraud, suspicious activity, misidentification, money laundering, or other prohibited activity. You consent to the Company's transfer of your information as required for these legitimate business purposes. The Company will retain your relevant KYC/AML information for as long as necessary to perform reviews and comply with legal obligations. Personal Information collected as part of the Registration, KYC or AML process may also be disclosed to competent governmental, regulatory or law-enforcement authorities where such disclosure is permitted or required under applicable law and as further described in clause 7.5 and the Privacy Policy.

6.6.

We may, in our sole discretion, refuse to open an Account for you and/or limit the number of Accounts you may hold with us.

6.7.

We reserve the right to take any action we deem necessary based on the outcome of our KYC/AML processes. If you fail our reviews for any reason, you may be prevented from or limited in using our Services, and we may report findings, along with your personal information, to the competent authorities. Decisions regarding approval or reporting are within the Company's sole and absolute discretion, and we are under no obligation to provide feedback on the exact nature of our findings.

6.8.

Clarity Global has a general obligation to report suspicious activity identified during its business relationship with the Client to the relevant authorities, and to comply with other AML/CFT reporting obligations. Clarity Global shall not be held liable for fulfilling these duties.

6.9.

You affirm and guarantee that all documents and information you provide are true, accurate, and complete, and you agree to promptly update your registration information if changes occur.

7. On-going Identity Verification and KYC&AML Monitoring

7.1.

At any time, even after the Account is opened, and to comply with applicable laws, we reserve the right to request additional documents and/or information, including regarding your source of funds. You agree to respond to verification calls and video verification whenever we consider it necessary.

7.2.

You authorise us to verify the information you provide, including by obtaining information from third parties about you.

7.3.

We may request evidence and documentation to support any transaction, including Source of Funds, Source of Wealth, tax confirmations, and other documents required by our compliance team.

7.4.

If the information provided is deemed unsatisfactory or does not meet our risk assessment criteria, we reserve the right to refuse to provide our services to you.

7.5.

Subject to applicable law, Clarity Global may disclose information concerning you, your Account, your transactions and your relationship with Clarity Global to governmental, regulatory, supervisory, judicial, tax or law-enforcement authorities in Canada or any other jurisdiction where Clarity Global reasonably considers such disclosure necessary or appropriate in connection with a request, inquiry, investigation, regulatory matter, prevention or investigation of fraud or other unlawful activity, or the protection of Clarity Global, its customers or its service providers.

In respect of information relating to a corporate Client that does not constitute Personal Information, the Client expressly authorises Clarity Global to make such disclosure, including disclosure of the Client's identity, Account details, transaction records and related corporate information, including any information about UBO, Shareholders, Directors and any authorised users, and you are confirming that all necessary approvals from the above individuals were duly obtained.

Any disclosure of Personal Information relating to an identifiable individual shall be made only where permitted or required under applicable privacy and data protection laws or where valid consent for such disclosure has been obtained.

Separately and without limiting the foregoing, Clarity Global may report suspicious transactions or other matters to the competent authorities where required or permitted under applicable AML/CFT or other laws.

7.6.

Clarity Global, at its sole discretion, may terminate your account or restrict your access to the Site or Service at any time and for any reason, without prior notice.

8. Age Restrictions

8.1.

You declare that you are over 18 years old if you are a natural person, or that you have full legal capacity if you are a legal entity, to enter into this Agreement and use the Site and Services.

9. Prohibited Jurisdictions

9.1.

Clarity Global complies with applicable AML/CFT laws and does not provide services to clients from sanctioned countries. Clarity Global abides by the Company's blocked-list policy; applicants from such jurisdictions will be rejected.

9.2.

Clarity Global does not provide services to Quebec province residents or U.S. nationals. You are prohibited from using the Services if located in, or a resident of, the United States of America or any of its states, territories, or jurisdictions, or any location where use of the Services would be illegal.

9.3.

You may not use our Services if located in, or a resident of, any other jurisdiction the Company has, at its sole discretion, decided to prohibit ("Prohibited Jurisdictions").

9.4.

You represent and warrant that you are not a citizen or resident of any Prohibited Jurisdiction and will not use our Services while located in one.

9.5.

You are responsible for complying with the laws applicable to your jurisdiction.

9.6.

The list of Prohibited Jurisdictions may be amended by the Company according to applicable laws and regulations and at the Company's sole discretion.

9.7.

The Company may, at its sole discretion, restrict access to the Services or Site in certain jurisdictions. If the Company determines you are accessing from a restricted or Prohibited Jurisdiction, or if you have provided false information about your location, citizenship, or residence, the Company reserves the right to immediately close any of your accounts.

10. Maintaining Security of your Account

10.1.

You are responsible for maintaining the security and confidentiality of your Account, password, and any other User Credentials, and for all activities conducted through your Account.

10.2.

If your login credentials are compromised due to viruses or malware on your devices, the Company is not liable, and you remain responsible. Report any possible hacks or security breaches immediately. Any compromise of your credentials may expose your personal and confidential information to unauthorized access, potentially resulting in loss or theft of funds.

10.3.

If you become aware of any unauthorized access to your account, notify us immediately with all relevant details.

10.4.

Although Clarity Global has taken measures to ensure the confidentiality of communications and materials transmitted to or from the Site, no data transmission can be guaranteed to be 100% secure. In case of any breach of security measures due to our systems, the user will be notified by us immediately.

11. Prohibited Use

11.1.

You represent and warrant that your use of our Site and Services complies with all applicable laws and regulations. Any criminal or fraudulent activity committed by you or under your supervision through the Site, Services, or Account is strictly prohibited, including fraud, money laundering, illegal operations, terrorist financing, or malicious hacking. You also agree not to conceal or alter your IP location and will always disclose your accurate and true location.

11.2.

We reserve the right to cancel and/or suspend your Account and/or block transactions or freeze funds immediately and without notice if we determine, in our sole discretion, that your Account is associated with a Prohibited Use or illegal activity.

11.3.

Clarity Global, at its sole discretion, reserves the right to unilaterally block access to the Services and/or freeze funds, as well as return funds to the sender subject to applicable fees, in cases of suspected illegal or fraudulent activity, non-compliance with this Agreement, and/or as required by law. Clarity Global has a legal obligation to notify the relevant authorities in such circumstances.

12. Fees, Payment, and Currency Exchange (“Fees”)

12.1.

Remittance Fees. In consideration for the use of the Service, you agree to pay Clarity Global a fee for each Transaction at the applicable rate then in effect according to your Fee Schedule, plus any applicable fees for additional services (the "Remittance Fee" or the "Fees").

12.2.

Fees are immediately due and payable to Clarity Global on provision of the relevant Service. Clarity Global may deduct Fees automatically as they accrue from any of your accounts. If there are insufficient funds to cover Fees, resulting in a negative balance, you shall promptly, but no later than 3 Business Days after receipt of notice, upload sufficient funds to cover any outstanding Fees.

12.3.

Late Payment and Interest Charges. If any sums due are not paid in full by the due date, the Company may charge interest on the overdue amount at a rate of 4% per annum above the prime rate of interest announced from time to time by Royal Bank of Canada as its reference rate for Canadian dollar commercial loans made in Canada, accruing daily and calculated on the basis of a 365-day year from the due date until payment is made in full, whether before or after judgment.

For the purposes of the Interest Act (Canada), whenever interest is calculated on the basis of a period other than a calendar year, the yearly rate to which such rate is equivalent is that rate multiplied by the actual number of days in the calendar year and divided by the number of days in that period. In no event shall the aggregate interest payable exceed the maximum rate permitted by applicable law, and if it would, the rate shall be reduced to the maximum lawful rate.

12.4.

The fees for specific services, the currency exchange rate, their calculation, and other amounts payable to Clarity Global are specified in the Fee Schedule.

12.5.

Clarity Global has the right to unilaterally change fees set forth in the Clarity Global agreements and/or the Fee Schedule, and will notify you in accordance with its established procedures.

12.6.

A return processing fee may be charged in accordance with your Fee schedule, i.e., the combined fees for incoming and outgoing transfers, subject to the following definitions:

  1. The return fee should be not less than 30 currency units for SEPA/Local return and 40 currency units for SWIFT return;
  2. The return fee should not exceed
  • amount 0 - 150k  — 500 currency units;
  • amount 150k - 300k — 1000 currency units;
  • amounts exceeding 300k are reviewed on a case-by-case basis.

Notwithstanding the above, where an incoming payment is automatically rejected and returned by our banking partner or payment processor and we do not incur any direct processing costs, operational efforts or financial losses related to this return, Clarity Global may waive the applicable return processing fee.

12.7.

The return processing fee be deducted:

  • From the returned payment amount prior to remittance; or
  • Directly from the customer’s account balance.
12.8.

The deduction shall be recorded within our accounting systems.

12.9.

If intermediary banks apply additional return charges, such charges may also be deducted from the returned amount where not restricted by applicable agreements.

13. Cancellations and Refunds

13.1.

Cancellation of a Transaction occurs when a client has sent funds to an outside financial institution, but the transaction was stopped or halted. A refund occurs when a client has sent funds from an outside financial institution to an account with us, and the transaction was cancelled and returned to the original sender.

13.2.

A client may cancel a transaction only if it was not yet executed by the Company. All cancellation requests must be received by email using the client's registered email: support@clarityglobalinc.com.

13.3.

Clarity Global has the right to cancel any non-fully-funded transactions after 3 business days of initiation. If a client initiates multiple transactions without sufficient funds for the total, Clarity Global will proceed in the order it deems appropriate.

13.4.

No transaction may be cancelled by the client once executed by the Company. A transaction is considered completed once processed and executed.

13.5.

If the client cancels more than three (3) transactions within 365 days, the Service Fee will not be refunded, and Clarity Global reserves the right to restrict access to the services.

13.6.

In some cases the client must contact the recipient directly to arrange the return of funds. It is advisable to only send money to people you know and trust.

13.7.

The Company reserves the right to suspend or cancel any Transaction without providing a reason and without liability, if required by public authority or law, or if the Company has reason to believe the transaction resulted from fraud or illegal action, or violated this Agreement. The Company will not be liable for suspension or cancellation of a Transaction.

13.8.

Clarity Global is entitled to suspend and freeze any incoming transaction if there is reasonable suspicion regarding the origin of funds, and may refuse the transaction, return funds to the sender, or request additional documentation. Clarity Global will not assume liability for actions taken under this clause.

13.9.

All refunds will be credited to the same payment method used to fund the Account. If the same payment method is unavailable, on which you must inform us in advance, the Company will request an alternative destination owned by the same sender, and may request supporting documentation. In case of dispute, the client must provide verifiable evidence as requested.

13.10.

Clarity Global will hold funds until instructions are received from the client, and will send the amount after deduction of applicable fees.

14. Recall of Funds

14.1.

If we receive a request from any financial or payment institution, bank, regulatory body, counterparty, or other third party (the "Demanding Party") for reversal of funds from a previously sent wire transfer ("Recall"), the following additional terms apply.

14.2.

We reserve the right to immediately suspend any activity in the User's Account and freeze all balances.

14.3.

Alternatively, we may freeze balances related to the Recall while allowing continued use of the Account for unrelated activities.

14.4.

We reserve the right to immediately terminate the User's Account if we believe the Recall results from unauthorised or fraudulent activity.

14.5.

Our banking partners involved in the reversed transaction reserve the right to refund the Demanding Party the full amount, with or without notice to you, and/or to suspend activity or freeze balances.

14.6.

We will be entitled to refund the Demanding Party the full amount, with or without notice and even prior to completion of any Investigation, if we believe the Recall involves unauthorised or fraudulent activity.

14.7.

You shall immediately contact the Demanding Party and use best efforts to settle the Recall within two (2) Business Days of our notice (the "Settlement Period").

14.8.

We reserve the right to credit the counterparty with the full Recall amount unless you provide confirmation of cancellation and requested documentation during the Settlement Period. A Recall is considered cancelled only upon the sender bank's cancellation and our banking partners' approval.

14.9.

We shall initiate an investigation regarding the Recalled transaction and cooperate with any regulatory body involved. Based on findings, we will decide on the status of your Account, including possible termination or limitation ("Investigation").

14.10.

You commit to providing all necessary information and documentation to assist in the Investigation, including participating in video conference calls.

14.11.

Our Investigation and handling of the Recall shall take a minimum of 60 days, or longer if required by applicable regulation. We will update you on the status as far as permitted by law; in some cases we may not be authorized to reveal information.

Indemnification

14.12.

You shall indemnify and hold the Company harmless from any losses, damages, expenses (including legal fees), costs, penalties, and liabilities arising from Recalls and their Investigations. You are liable for all losses incurred from unauthorized payment orders.

14.13.

If a Recall results in a negative balance, you must promptly repay it by uploading sufficient funds. Failure to do so constitutes a breach of these Terms, and we reserve the right to take debt collection measures, including engaging agencies, solicitors, or pursuing claims in court, and to charge you for related expenses.

Recall Fees and Additional Charges

14.14.

We are entitled to charge a Recall Fee of EUR 500 for the 1st recall and EUR 1,000 for any subsequent recall, which may be amended from time to time.

14.15.

We reserve the right to charge you for any associated fees and expenses incurred during handling of the Recall. If your account has insufficient funds, you must make a payment to cover such fees.

15. Reserves or Reserve Account

15.1.

We may request that you establish a reserve account maintaining a Minimum Reserve Balance at all times. We reserve the right to deduct our fees from this account. You are responsible for topping it up as required. We may revise and increase the minimum reserve amount at our discretion based on risk assessment.

15.2.

Even where a Reserve Account is not initially required, the Company may decide it is necessary at a later stage, subject to prior notification. Such a Reserve may be requested where there is: (a) risk of the customer ceasing or transferring its business; (b) risk of material changes to the nature of its business; (c) higher than normal risk of recalls or reversals; (d) concerns about overall financial standing; (e) extended timeframes for delivery of goods or services; (f) risk of insolvency; (g) a disproportionate number of complaints, reversed transactions, fines, or penalties; or (h) reasonable belief the customer will not be able to perform its obligations.

16. Special Services

16.1.

SMS, email, or other electronic notification regarding Transactions is available and offered in certain international destinations.

Privacy Policy

1. About this policy

We aim to be transparent. We care about our business, and you are key to it, so we do not hide behind complex wording and fine print. This Privacy Policy explains what personal information Clarity Global Inc. ("Clarity", "we", "us") collects, why, how we use and share it, and the choices and rights you have.

We handle personal information in accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and Alberta's Personal Information Protection Act (PIPA). Where other laws apply to you, such as UK or EU data protection law, we also comply with them.

As a money services business registered with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC), we are also subject to the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA), Canadian sanctions laws, and the Retail Payment Activities Act, under which we are registered with the Bank of Canada. These laws require us to collect, verify, keep and report certain information about our clients and their transactions. Where they conflict with a choice or right described in this policy, we must follow the law, and this policy explains where that happens.

"Personal information" means information about an identifiable individual. It does not include aggregated or de-identified data that cannot reasonably be used to identify you.

Aggregated data

Much of this information is sensitive, and we protect it accordingly. We collect identity, compliance and transaction information because the PCMLTFA and sanctions laws require it; we cannot provide our services without it.

Biometrics. If you verify your identity with a selfie, we compare it with the photo on your ID. We do this only with your consent and use the data only for identity verification. We keep it with your other identity verification records for at least 5 years. You can choose to verify your identity another way instead.

Aggregated data is derived from personal information but does not identify you. If we combine it with personal information so that it could identify you, we treat the result as personal information.

5. How we collect it

  • Directly from you, when you apply, open an account, verify your identity, send or receive funds, contact us, or respond to our requests for information.
  • From identity verification and screening providers, sanctions, politically exposed person and adverse media databases, and public corporate registries.
  • From banks, payment networks and other financial institutions, including information about the sender or recipient that travels with a transfer.
  • From business clients, about their directors, beneficial owners, signatories and employees.

6. Why we use it and on what basis

We identify our purposes at or before collection and use your information only for them, unless you consent to a new purpose or the law permits or requires otherwise.

Information the law requires. You cannot withdraw consent to the collection, use or disclosure the law requires. If you do not provide it, we cannot open an account or process a transaction, and we may have to end our relationship with you.

Reports made without notice. We must report certain transactions to FINTRAC, including suspicious transactions of any amount and large cash, electronic funds and virtual currency transactions of $10,000 or more. The law prohibits us from telling you whether we have made a suspicious transaction report.

Other consent. For everything else, we rely on your consent, express or implied depending on the sensitivity of the information and your reasonable expectations. You may withdraw it at any time by contacting our Privacy Officer, subject to legal or contractual limits. We will explain the consequences, such as being unable to continue a service. Withdrawal does not affect use that took place before it.

Automated decisions. We use automated tools to verify identity, screen against sanctions lists and detect fraud. Our compliance staff review flagged results before any decision is made, so no decision about you is made solely by automated means. If that changes, we will tell you, explain the main factors on request, and let you ask a person to review it.

7. Cookies and tracking technologies

Our website and app use cookies and similar technologies. Essential cookies make them work and keep your account secure. Analytics cookies, set through Google Analytics and Google Tag Manager, help us understand how visitors use our public website. We do not run analytics or advertising tags on logged-in account, verification or transaction pages.

You can accept or decline non-essential cookies through our cookie banner and change your choice at any time through [Cookie settings link]. You can also block cookies in your browser or install the Google Analytics opt-out browser add-on (tools.google.com/dlpage/gaoptout).

8. Marketing emails

We send commercial electronic messages only in line with Canada's Anti-Spam Legislation (CASL): with your express consent, or where CASL allows implied consent, such as an existing business relationship or a business address you have published without saying you do not want messages. Every message identifies Clarity, includes our contact details, and has a working unsubscribe link. We act on unsubscribe requests within 10 business days.

Service messages, such as transaction confirmations, security alerts and requests for information we are required to collect, are not marketing. You will receive them while you have an account with us.

9. Sharing and processing outside Canada

We do not sell your personal information. We share it only as follows:

  • Regulators and authorities. With FINTRAC for required reports; with the Canada Revenue Agency, law enforcement and other authorities where the law requires or permits, such as under a production order or warrant; and with the Bank of Canada under the Retail Payment Activities Act.
  • Banks, payment networks and receiving institutions. To complete your transactions. As the law requires, sender and recipient details travel with each transfer to the institutions that handle it, including abroad.
  • Service providers that perform services for us (table below). Our contracts limit them to that purpose and require protection comparable to ours.
  • People you authorize, such as a representative or, for business clients, their authorized signatories.
  • A buyer or successor in a business transaction, under an agreement to protect the information.

Processing outside Canada. Some of our service providers store or process personal information outside Canada, and international transfers send information to institutions in the destination country. While outside Canada, your information is subject to local laws and may be accessed by courts, law enforcement and national security authorities there. You can obtain written information about our policies and practices for service providers outside Canada, or ask questions about their handling of your information, by contacting our Privacy Officer.

UK and EEA individuals. When we transfer personal information of UK or EEA individuals, we rely on an adequacy decision (Canada holds one from the European Commission for commercial organizations) or on approved standard contractual clauses.

10. How we protect it

We protect personal information with safeguards appropriate to its sensitivity. Identity, compliance and transaction data are encrypted in transit and at rest. Access is limited to staff who need it for their role, such as our compliance team, and is logged. Staff are bound by confidentiality, trained on privacy and anti-money-laundering obligations, [and background-checked]. We use multi-factor authentication for client accounts and internal systems.

Breaches. If a breach of security safeguards creates a real risk of significant harm to you, we will notify you and report it to the Office of the Privacy Commissioner of Canada or the Office of the Information and Privacy Commissioner of Alberta, as applicable, as soon as feasible. We will also report incidents to the Bank of Canada, and notify affected clients, as the Retail Payment Activities Act requires. We keep a record of every breach for at least 5 years.

Where you have a password for our applications, please keep it confidential and do not share it.

11. How long we keep it

We keep personal information as long as needed for the purposes it was collected for and as long as the law requires. When we no longer need it, we securely destroy it or make it anonymous.

These legal periods apply even if you close your account or ask us to delete your information. We may keep information longer in the event of a complaint, investigation or reasonably anticipated litigation.

12. Your rights

You have the right to:

  • Access the personal information we hold about you, learn how it has been used, and to whom it has been disclosed, subject to the limits below.
  • Correct information that is inaccurate or incomplete. For verified identity details, we may ask for supporting documents. Where appropriate, we will send the correction to third parties that received the information.
  • Withdraw consent where we rely on it, as described in section 6.
  • Challenge our compliance with this policy by contacting our Privacy Officer, and complain to a regulator (see section 13).

If UK or EU law applies to you, you also have the rights it gives you, including erasure, restriction, objection and portability.

Limits that apply to a financial services business. We cannot delete or stop using information we must keep under the PCMLTFA or other laws until the required retention period ends, even if you ask, including under UK or EU law. If your request concerns information we have disclosed to FINTRAC or another government institution, the law requires us to consult that institution first and may require us to refuse. In that case we will notify the Privacy Commissioner of Canada, and we may not be able to tell you about the disclosure.

How to make a request. Send a written request to our Privacy Officer. We may ask for information to verify your identity, and we use it only for that purpose. We will respond within 30 days (45 days for requests under Alberta's PIPA). If we need more time, we will tell you within that period, why, and when to expect our answer. Requests are free, unless they are clearly unfounded or excessive, in which case we will tell you the minimal cost in advance. If we refuse a request, we will explain why in writing and tell you how to challenge the decision. In some cases, such as where information would reveal another person's information or is subject to legal privilege, the law allows or requires us to withhold it.

13. Questions and complaints

Please contact our Privacy Officer first; we investigate every complaint and, if it is justified, take appropriate measures, including changing our practices. You may also complain to a regulator at any time:

1.6.

The Cards operate on a pre-funded basis. Card Transactions are funded from amounts made available or allocated by the Client for use under the Card Programme. The Card does not constitute a credit facility, and neither Clarity Global nor Clarity Solutions is obliged to provide an overdraft, loan or other form of credit.

1.7.

The Card Services are subject to:

(a) the Master Agreement;
(b) this Card Addendum;
(c) the applicable Product Schedule and Fee Schedule;
(d) the Clarity Solutions Terms;
(e) any mandatory terms of the Card Issuer applicable to the relevant Card; and

3. Eligibility and Card Issuance

3.1.

Card Services are available only to Clients approved by Clarity Global and, where applicable, Clarity Solutions and the Card Issuer.

3.2.

Approval of an Account under the Master Agreement does not automatically entitle the Client or any individual to receive a Card.

3.3.

Clarity Global and/or the Card Issuer may require identification, KYC, AML/CFT, sanctions, corporate, employment or other information before approving the Client or a Cardholder and may request updated information at any time.

3.4.

Each Cardholder must:

(a) be at least 18 years old;
(b) be duly authorised by the Client;
(c) satisfy all applicable identification and verification requirements; and
(d) comply with the applicable Cardholder obligations.

3.5.

An application for a Card may be refused where the applicable eligibility, compliance, security, regulatory or risk requirements are not satisfied.

3.6.

A Card remains the property of the Card Issuer and may not be transferred to another person.

3.7.

Any Card must be activated in accordance with the instructions provided through the Card Platform or otherwise communicated to the Client or Cardholder.

4. Cardholders and Authorised Use

4.1.

The Client may designate one or more individuals as Cardholders, subject to applicable approval requirements.

4.2.

The Client shall ensure that each Cardholder:

(a) is properly authorised to use the Card;
(b) receives and complies with the Cardholder obligations set out in Schedule 1;
(c) uses the Card only within the authority, limits and permissions assigned by the Client; and
(d) immediately ceases using the Card when such authority is withdrawn.

4.3.

A Cardholder is authorised to act on behalf of the Client solely within the authority, Card limits and permissions assigned to that Cardholder.

4.4.

Subject to the provisions concerning unauthorised Transactions, the Client is responsible for Card Transactions validly authorised by its Cardholders.

4.5.

The Client must promptly notify Clarity Global and Clarity Solutions when a Cardholder’s employment, engagement or authority ends or where a Card should otherwise be suspended or cancelled.

5. Funding and Available Balance

5.1.

Card Transactions are made on a pre-funded basis from the Available Balance allocated for use under the Card Programme.

5.2.

The Client must maintain sufficient Available Balance to cover:

(a) Card Transactions;
(b) Fees;
(c) foreign-exchange adjustments;
(d) Merchant adjustments; and
(e) any other amounts properly payable in connection with the Card.

5.3.

Funds may only be made available to the Card Programme through channels approved by Clarity Global, Clarity Solutions and/or the Card Issuer.

5.4.

Funding limits or restrictions may be applied or amended for compliance, fraud-prevention, risk-management, security, Card Scheme or operational reasons.

5.5.

When a Merchant requests authorisation for a Card Transaction, the relevant amount may be reserved against the Available Balance until the Card Transaction is settled, reversed or released.

5.6.

A Merchant authorisation may exceed the final Card Transaction amount, including in connection with hotels, car rentals, fuel stations, tips and similar transactions.

5.7.

The final amount of a Card Transaction will be deducted when presented for settlement through the applicable Card Scheme and Card Issuer.

5.8.

No interest is payable on the Available Balance unless expressly agreed otherwise.

6. Negative Balances and Shortfalls

6.1.

Although the Cards operate on a pre-funded basis, a negative balance or shortfall may arise due to circumstances including:

(a) offline or delayed Transactions;
(b) Merchant adjustments;
(c) delayed or corrected settlement;
(d) foreign-exchange differences; or
(e) Fees;

6.2.

Where a negative balance or shortfall arises from a Card Transaction made by the Client or a Cardholder, the Client shall reimburse the shortfall immediately upon request.

6.3.

To the extent permitted by applicable law and the safeguarding provisions of the Master Agreement, Clarity Global may apply amounts otherwise available to the Client against an outstanding shortfall.

6.4.

Until a shortfall has been repaid, the relevant Cards and/or Card Services may be suspended.

6.5.

Where a shortfall results from an error attributable to a Merchant, the Card Issuer, Card Scheme or another third party, reasonable assistance will be provided to the Client in seeking correction or recovery.

7. Use of the Card

7.1.

A Card may be used to make purchases and, where enabled, cash withdrawals at Merchants and ATMs accepting the applicable Card Scheme.

7.2.

Acceptance of a Card by any particular Merchant or ATM is not guaranteed.

7.3.

A Card Transaction will be treated as authorised where a Cardholder has consented to it through a method recognised by the Card Issuer or Card Scheme, including:

(a) use of a Card and PIN;
(b) contactless functionality;
(c) provision of Card details;
(d) 3DS authentication;
(e) use of a tokenised Card or approved digital wallet; or
(f) another approved authentication method.

7.4.

Creation, issuance or possession of a Card does not, by itself, constitute authorisation of every subsequent Card Transaction.

7.5.

Once authorised, a Card Transaction generally cannot be revoked, subject to applicable law and any available refund, dispute or Chargeback process.

7.6.

The Client remains responsible for its contractual relationship with the relevant Merchant. Cancellation of a recurring Card Transaction does not itself terminate the Client’s underlying contract with the Merchant.

8. Card Limits and Fees

8.1.

Limits may apply to:

(a) individual Card Transactions;
(b) daily, weekly or monthly spending;
(c) ATM withdrawals;
(d) the Available Balance;
(e) the number of Cards or Card Transactions; and
(f) particular Merchant categories, jurisdictions or Transaction types.

8.2.

Applicable limits may be communicated through the Card Platform, Product Schedule or Customer Services.

8.3.

Limits may be amended where reasonably necessary for regulatory, compliance, fraud-prevention, security, Card Scheme, financial-risk or operational reasons.

8.4.

The Client shall pay the Fees specified in the applicable Fee Schedule.

8.5.

Merchants, ATM operators, Card Schemes and other third parties may separately impose charges over which Clarity Global and Clarity Solutions have no control.

9. Foreign Currency Transactions

9.1.

Where a Card Transaction is denominated in a currency different from the applicable Card Account currency, the Transaction will be converted using the exchange rate applied by the Card Scheme and/or Card Issuer at the applicable processing or settlement time.

9.2.

Any additional foreign-exchange or cross-border Fee charged in connection with the Card Services will be disclosed in the applicable Fee Schedule.

9.3.

Exchange rates may change between authorisation and final settlement. The final amount debited may therefore differ from the amount initially reserved.

10. Security and Authentication

10.1.

The Client shall ensure that each Cardholder:

(a) keeps the Card and Security Credentials secure;
(b) does not disclose a PIN, password or authentication code to another person;
(c) does not permit another person to use the Card;
(d) complies with reasonable security instructions; and
(e) immediately reports suspected loss, theft, compromise or unauthorised use.

10.2.

Certain Card Transactions may require 3DS or another authentication mechanism supported by the Card Issuer or Card Scheme.

10.3.

The Client and Cardholders must maintain accurate contact details required for authentication and security purposes.

10.4.

Cards may be registered with supported digital-wallet or tokenisation services, including Apple Pay or Google Pay where available. Use of such services may also be subject to third-party terms.

11. Transaction Monitoring and Fraud Prevention

11.1.

Clarity Global or the Card Issuer may monitor Card Transactions and use of the Card Services for:

(a) fraud prevention and detection;
(b) AML/CFT compliance;
(c) sanctions compliance;
(d) security;
(e) risk management;
(f) compliance with applicable law; and
(g) compliance with Card Scheme requirements.

11.2.

A Card Transaction may be declined, delayed or subjected to additional verification where reasonably necessary for these purposes.

11.3.

A Card may be temporarily blocked, restricted or suspended where there is a reasonable concern regarding fraud, unauthorised use, security compromise, sanctions exposure, financial crime or breach of the applicable terms.

11.4.

Where legally permitted and reasonably practicable, the Client will be informed of such action and any steps required to restore Card functionality.

12. Lost, Stolen or Compromised Cards

12.1.

The Client or Cardholder must notify Customer Services immediately where a Card:

(a) is lost or stolen;
(b) may have been copied or compromised;
(c) has been used without authorisation; or
(d) has Security Credentials that may have been compromised.

12.2.

Following notification, the relevant Card may be immediately blocked or cancelled.

12.3.

A replacement Card may be issued subject to approval and any applicable Fee.

12.4.

A Card reported lost or stolen must not subsequently be used and, if recovered, must be securely destroyed.

13. Disputed and Unauthorised Card Transactions

13.1.

The Client must notify Customer Services without undue delay after becoming aware of any unauthorised, fraudulent, duplicated or incorrectly processed Card Transaction.

13.2.

Where a dispute concerns the quality, delivery or performance of goods or services, the Client should first seek to resolve the matter directly with the Merchant where reasonably possible.

13.3.

The Client and Cardholder must provide all information and evidence reasonably requested within the applicable deadlines established by the Card Issuer or Card Scheme. Submission of a dispute does not guarantee that a Chargeback or refund will be successful.

13.4.

A determination under a Card Scheme Chargeback process shall be final for the purposes of that process, without prejudice to any rights or remedies available under mandatory applicable law.

13.5.

Rights and liabilities concerning unauthorised Card Transactions shall be determined in accordance with applicable law, the applicable Card Issuer terms and Card Scheme rules.

Nothing in this Card Addendum limits any mandatory refund right of the Client or Cardholder.

14. Merchant Refunds

14.1.

A refund made by a Merchant in relation to a Card Transaction will ordinarily be credited back to the balance or account from which the original Card Transaction was funded.

14.2.

The timing of a refund depends on processing by the Merchant, Card Scheme and Card Issuer and is not solely within the control of Clarity Global or Clarity Solutions.

15. Card Expiry and Replacement

15.1.

Each Card is valid until its stated expiry date unless cancelled or terminated earlier.

15.2.

The Card Issuer may issue a replacement Card before expiry, and relevant instructions will be communicated to the Client where replacement is available.

15.3.

A damaged, malfunctioning, lost or stolen Card may be replaced subject to approval and any applicable Fee.

15.4.

Expiry or cancellation of a Card does not result in forfeiture of the Client’s underlying funds. Any remaining funds continue to be dealt with in accordance with the Master Agreement and applicable law.

16. Suspension, Cancellation and Termination

16.1.

The Client may request cancellation of one or more Cards at any time through Customer Services or the Card Platform, where functionality is available.

16.2.

Cancellation of a Card or termination of Card Services does not, by itself, terminate the Master Agreement or the Client’s other Services with Clarity Global.

16.3.

Termination or closure of the underlying Account will automatically result in termination of the Card Services and cancellation of all Cards linked to that Account.

16.4.

Clarity Global, Clarity Solutions and/or the Card Issuer may immediately suspend, restrict, block or cancel a Card where reasonably necessary due to:

(a) suspected fraud or unauthorised use;
(b) security concerns;
(c) AML/CFT or sanctions requirements;
(d) breach of the applicable terms;
(e) inaccurate, incomplete or misleading information;
(f) Card Scheme requirements;
(g) requirements of a competent authority;
(h) termination or modification of the Card Programme; or
(i) a decision of the Card Issuer that the relevant Card can no longer be supported.

16.5.

Card Services may also be discontinued on reasonable prior notice. Shorter notice or immediate action may apply where required by law, the Card Issuer, Card Scheme, regulatory requirements or urgent security or risk considerations.

16.6.

Cancellation or termination does not affect any Card Transaction authorised before cancellation or any Transaction otherwise properly presented for settlement afterwards.

16.7.

Following termination or closure of the Account, Card Account and/or Card, the remaining available balance will be returned to the Client, subject to completion of any applicable compliance, AML/CTF, sanctions, fraud-prevention or other legally required checks or restrictions, and less any applicable fees, charges or other amounts due and payable by the Client.

17. Personal Information

17.1.

Personal Information will be processed in accordance with applicable privacy and data protection laws, the Clarity Global Privacy Policy and, where applicable, the Clarity Solutions privacy notice.

17.2.

The Client authorises Clarity Global to provide information relating to the Client, its authorised representatives and Cardholders to Clarity Solutions, the Card Issuer, Card Scheme, payment processors, fraud-prevention providers, tokenisation providers and other relevant service providers where reasonably necessary to:

(a) provide and administer the Card Services;
(b) issue Cards;
(c) process Card Transactions;
(d) investigate disputes;
(e) prevent or detect fraud;
(f) comply with legal or regulatory requirements; or
(g) administer the Card Programme.

17.3.

The Client shall ensure that each proposed Cardholder has been provided with the applicable privacy notices before Personal Information relating to that Cardholder is submitted.

17.4.

Clarity Solutions, the Card Issuer and other relevant service providers may separately process Personal Information in accordance with their own applicable legal obligations and privacy notices.

18. Liability

18.1.

The exclusions and limitations of liability contained in the Master Agreement apply to the Card Services unless expressly stated otherwise in this Card Addendum.

18.2.

Clarity Global shall not be responsible for the independent act or omission of a Merchant, ATM operator, Card Scheme, Card Issuer, tokenisation provider or other independent third-party service provider except to the extent Clarity Global is legally responsible for such act or omission.

18.3.

Neither Clarity Global nor Clarity Solutions guarantees that every Merchant or ATM will accept a Card or that every Card Transaction will be authorised.

18.4.

Nothing in this Card Addendum excludes or limits liability that cannot lawfully be excluded or limited.

18.5.

Nothing in this section limits any obligation under applicable law or the Master Agreement to account for or return funds beneficially belonging to the Client.

19. Complaints

19.1.

Complaints relating to the Card Services shall initially be submitted to:

dispute@clarityglobalinc.com and will be handled in accordance with the complaints procedure set out in the Master Agreement.

19.2.

Where a complaint concerns an act, omission or decision of Clarity Solutions, the Card Issuer or Card Scheme, the complaint may be referred or escalated to the relevant party.

19.3.

Clarity Global will reasonably assist the Client with such escalation where appropriate.

20. Amendments

20.1.

This Card Addendum may be amended in accordance with the amendment provisions of the Master Agreement.

20.2.

Changes required by Clarity Solutions, the Card Issuer, Card Scheme, applicable law, regulatory requirements or security considerations may take effect on shorter notice or immediately where reasonably necessary.

20.3.

Where a material change to the Card Programme adversely affects the Client and is not required to take effect immediately, reasonable advance notice will be provided.

21. Order of Precedence

21.1.

In the event of any inconsistency relating specifically to the Card Services, the following order of precedence shall apply:

(a) mandatory applicable law and mandatory Card Scheme requirements;

(b) mandatory Card Issuer terms applicable to the relevant Card;

(c) the applicable Product Schedule;

(d) this Card Addendum;

(e) the Master Agreement;

(f) the Clarity Solutions Terms, solely in relation to access to and use of the Card Platform and services provided directly by Clarity Solutions; and

(g) the Fee Schedule, provided that the Fee Schedule shall prevail with respect to the amount of applicable Fees.

21.2.

A higher-ranking provision shall prevail only to the extent of the relevant inconsistency.

21.3.

For the avoidance of doubt, the Clarity Solutions Terms govern the services and functionality provided by Clarity Solutions and shall not amend or override the contractual relationship between Clarity Global and the Client under the Master Agreement except where expressly stated in this Card Addendum.

22. Governing Law and Jurisdiction

22.1.

The contractual relationship between Clarity Global and the Client under this Card Addendum shall be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

22.2.

Clarity Global and the Client submit to the exclusive jurisdiction of the courts of Alberta sitting in Calgary, Alberta.

22.3.

Clauses 22.1 and 22.2 do not override any mandatory law or jurisdiction applicable to the Card Issuer, the services provided directly by Clarity Solutions or a Cardholder.

23. General

23.1.

Headings are for convenience only and do not affect interpretation.

23.2.

Any failure or delay in exercising a right under this Card Addendum shall not constitute a waiver of that right.

23.3.

If any provision is invalid or unenforceable, the remaining provisions shall remain in full force and effect.

23.4.

The Client may not assign its rights or obligations under this Card Addendum without the prior written consent of Clarity Global.

23.5.

Clarity Global may subcontract elements of the Card Services to Clarity Solutions, the Card Issuer or other appropriately appointed service providers.

23.6.

This Card Addendum is provided in English. Where a translation is made available, the English version shall prevail to the extent permitted by applicable law.

This Part is provided in the form of the Provider's standard Cryptocurrency Purchase & Sale (OTC) Agreement template, used by Clarity Global Inc.'s CG Foreign Exchange Desk for periodic cryptocurrency purchase and sale transactions with counterparties. A version of this Agreement is executed separately for each counterparty; where an executed version exists, that executed version, including its specific parties, dates, and reference number, governs.

This Cryptocurrency Purchase & Sale Agreement (this "Agreement") is made between Clarity Global Inc., the Canadian corporation having a business address at 222-1100 8 Ave SW, Calgary, Alberta, T2P 3T8, Canada, with registration number 2024267623 ("CG Foreign Exchange Desk"), and the relevant Counterparty (together with CG Foreign Exchange Desk, the "Parties" and each a "Party").

WHEREAS, the Parties desire to enter into periodic Purchase Orders for the purchase and sale of cryptocurrency as set forth herein; NOW THEREFORE, for good and valuable consideration, the Parties agree as follows:

Article I. Sale and Purchase of the Purchased Cryptocurrency

Section 1.1 Purchase Orders. Purchase Orders. From time to time during the Term, either Party may engage the other in discussions regarding the purchase or sale of a specified amount of a given cryptocurrency, via approved communication channels. Once both Parties agree on the specific cryptocurrency and amount, the obligation becomes binding, subject to the further terms of this Agreement (each, a "Purchase Order"). CG reserves the right to suspend, limit, or terminate a Purchase Order, or withdraw from its obligations, immediately or with reasonable notice, if CG determines in its sole discretion that: (a) providing the services carries unacceptable legal, regulatory, security, reputational, or other risk; (b) significant changes in applicable laws or regulations make provision of services impractical or non compliant; (c) technical, operational, or infrastructure issues prevent effective or secure provision of services; or (d) market volatility, liquidity constraints, or other market conditions impact CG's ability to perform.

Section 1.2 Purchase and Sale. (a) On each Settlement Date, the seller (Counterparty or CG Foreign Exchange Desk, as applicable), via a third-party service provider, shall sell, transfer, and deliver the relevant Purchased Cryptocurrency to the purchaser. (b) Within no later than 3 business days following agreement of a Purchase Order, the purchasing Counterparty shall deliver immediately available funds or cryptocurrencies to CG Foreign Exchange Desk's designated location/wallet, or, where CG Foreign Exchange Desk is purchasing from Counterparty, deliver the Purchased Cryptocurrency to CG's designated wallet. (c) Within no later than 3 business days following such payment, the seller shall deliver the Purchased Cryptocurrency to the purchaser's designated wallet, as applicable in each direction. (d) If a Purchase Order is not settled on the Settlement Date, CG Foreign Exchange Desk may terminate it at its sole discretion.

Section 1.3 Transaction Fees and Expenses. Each transaction is subject to a transaction fee, determined in advance and specified in each Purchase Order, charged at the date of execution by CG Foreign Exchange Desk. Each party bears its own bank charges and fees.

Section 1.4 Term. This Agreement remains in effect until terminated in writing by either Party, for any reason, with 5 days' written notice.

Section 1.5 Taxes. The Purchase Price is exclusive of applicable taxes. The purchaser is obligated to pay all applicable taxes on the sale of the Purchased Cryptocurrency, including any taxes later determined to have been collectible by the seller. The seller is not liable for any taxes the purchaser is legally obligated to pay in connection with the purchaser's business activities.

Section 1.6 Authorized Traders. No person other than the signatory to this Agreement, the CEO, and the CFO of Counterparty shall have the ability to place orders with CG Foreign Exchange Desk on behalf of Counterparty.
